AKCJE NIEME
Z wymogu imienności wszystkich rodzajów akcji uprzywilejowanych (art. 351 § 1 zdanie 2) wyłącza się akcje nieme. Uznano, że wymóg ten jest zasadny, gdy chodzi o akcje z prawem głosu. Nie ma natomiast potrzeby, żeby akcje nieme - uprzywilejowane majątkowo, a niedające władzy nad spółką - były imienne. Nie ma to bowiem szczególnego znaczenia dla spółki, a ogranicza tylko jej swobodę. Ogranicza się więc wymóg imienności tylko do pozostałych akcji uprzywilejowanych.
