English to Russian Law/Patents Law (general)

In general «apparent authority» concept is known in Continental law jurisdictions, however, as long as the company makes its constitutional documents (containing mentioned limitations) as well as the names of the directors public (in various jurisdictions the ways of making it public vary from simple registration in the state registry to requirements to publish this information in the newspaper) it will not acquire rights and obligations under the transaction concluded by the director acting in breach of his or her competence because it is assumed that bona fide third party shall check public sources and make sure that given director has appropriate authority to conclude the transaction.
