English to Polish Law/Patents Law: Contract(s)

By November 30th of each calendar year hereunder and as of the termination date of this Agreement, XXX shall physically stocktake the PRODUCT held in consignment stock at the CONSIGNMENT PLACE and notify YYY in writing of the results of such stocktaking in sufficient detail. XXX shall be liable for the regular listed purchase price of YYY of any stock deficits as compared to the reported quantities of PRODUCT thus discovered, unless such stock deficits are not due to XXX's negligence or wilful misconduct.
