(b) Upon the issuance of any Offtaker Change Order, the Parties shall confer upon the effect of such Offtaker Change Order on the Implementation Schedule and the Rates, taking into account the effect which Contractor demonstrates is properly attributable to such Offtaker Change Order and the ability of the Parties to reschedule Project activities to avoid or minimize the overall delay and additional cost resulting therefrom. Contractor shall provide such information as may reasonably be requested by Offtaker to enable Offtaker to consider the cost of carrying out any Offtaker Change Order, including, if requested, independently audited statements as to the accuracy and validity of such information. Such information shall include Contractor’s detailed analysis of prices, costs and man hours, together with an explanatory statement of Contractor’s estimating process, the allocation of profit and overheads and the amount of any contingencies.
