I thought I could translate as follows
Le XXX convient que si WWW remplit toutes ses obligations et s'acquitte de ses obligations conformement au present contrat..
but this does not sound right to me, now
therefore, i tried :
Le xxx convient que si wwremplit toutes ses obligations et respecte présent Contrat établit entre les parties présentes...
still in doubt.
what other options could I use ?

Your phrase as asked is not exactly what is in the document. The first obligations are general and the second are those governed by the agreement. I think the 'otherwise' is a bit redundant, but I would put this as follows:
