Source text - English This Agreement of Understanding by and between XXX ("XXX") and YYY ("YYY") is effective as of the date of the last signature listed below (the "Agreement").
Recitals
A. XXX and YYY entered into a Master Services Agreement (Asia Pacific), Contract Number: 1234 effective January 21, 2012, as amended (the "MSA");
B. XXX and YYY entered into Work Statement #5678 effective January 21, 2012 with a Start Date of January 21, 2012, as amended as of May 3, 2012 by Amendment to Work Statement, and as amended as of September 28, 2012 by Amendment to Work Statement (together, the "Work Statement");
C. XXX and YYY entered into a Lobbyist Services Agreement as of January 21, 2013, Contract Number: 91011 (the "LSA");
D. YYY performed work and provided services outside those described in the Work Statement for XXX;
E. Capitalized terms when used in this Agreement will have the same meaning as in the LSA.
NOW, THEREFORE, for valuable consideration, the parties agree as follows:
Agreement
1. The understanding of the Parties is that the terms and conditions of the MSA governed the Parties' conduct in the performance of all services by or in coordination with YYY, and its Personnel, for XXX or a XXX Affiliate, or for services that XXX or a XXX Affiliate may have received benefit from between January 21, 2012 and January 20, 2013.
2. The understanding of the Parties is that the terms and conditions of the LSA governed the Parties' conduct in the performance of all services by or in coordination with YYY, and its Personnel, for XXX or a XXX Affiliate, or for services that XXX or a XXX Affiliate may have received benefit from between January 21, 2013 and the effective date of this Agreement.
3. YYY represents, warrants, and covenants, on behalf of itself and each of its Personnel, to XXX and its Affiliates that for all services performed by or in coordination with YYY for XXX or a XXX Affiliate, or from which XXX or a XXX Affiliate may have benefited, starting on January 21, 2012 through the effective date of this Agreement that:
a. YYY or any of its Personnel did not provide any services on behalf of or for the benefit of XXX or a XXX Affiliate that included making any payment or transfer of anything of value, directly or indirectly to any government official or employee (including employees of a government corporation or public international organization) or to any political party or candidate for public office;
b. YYY or any of its Personnel did not provide any payments on behalf of or for the benefit of XXX or a XXX Affiliate that included making any payment or transfer of anything of value that had the purpose or effect of (a) public or commercial bribery; (b) the acceptance or acquiescence in extortion, kickbacks, or other unlawful or improper means of obtaining business; or (c) otherwise obtain an improper advantage for XXX or its Affiliates or YYY;
c. YYY's or any of its Personnel's performance of services on behalf of or for the benefit of XXX or a XXX Affiliate did not violate any applicable law or regulation in any applicable jurisdiction, including, but not limited to, the Foreign Corrupt Practices Act, the UK Bribery Act, and any anti-bribery laws of other countries;
d. YYY's or any of its Personnel's performance of services on behalf of or for the benefit of XXX or a XXX Affiliate did not cause XXX or a XXX Affiliate to be in violation of any law or regulation in any applicable jurisdiction, including, but not limited to, the Foreign Corrupt Practices Act, the UK Bribery Act, and any anti-bribery laws of other countries; and
e. YYY performed all of the services on behalf of or for the benefit of XXX or a XXX Affiliate, and did not engage or use a subcontractor.
4. This Agreement does not supersede the MSA or the LSA, and only supplements the MSA and LSA to the extent that services were performed by YYY that may not have previously been expressly governed by the terms of the MSA or LSA.
5. In case of any discrepancies between the Russian and English versions hereof, the version in the Russian language shall prevail.
IN WITNESS WHEREOF, each Party has caused its duly authorized representative to sign and accept this Agreement as of the date associated with the last signature below.
Translation - Russian Настоящее Соглашение о взаимопонимании между компаниями XXX (далее «XXX») и YYY (далее «YYY») вступает в силу после того, как обе стороны настоящего соглашения поставят свои подписи под ним (далее «Соглашение»).
Декларативная часть
A. Компании XXX и YYY заключили между собой Генеральное соглашение о предоставлении услуг (в Азиатско-тихоокеанском регионе), номер договора: 1234 от 21 января 2012 года в редакции последующих изменений (далее «Генеральное соглашение»);
B. Компании XXX и YYY подписали Регламент оказания услуг № 5678 от 21 января 2012 года с Датой начала оказания услуг 21 января 2012 года в новой редакции от 3 мая 2012 года на основании Поправки к регламенту оказания услуг и в новой редакции от 28 сентября 2012 года на основании Поправки к регламенту оказания услуг (далее совместно «Регламент оказания услуг»);
C. Компании XXX и YYY заключили между собой Договор о предоставлении лоббистских услуг от 21 января 2013 года, номер договора: 91011 (далее «Договор»);
D. Компания YYY выполнила работы и оказала услуги компании XXX, которые не были включены в Регламент оказания услуг;
E. Термины, используемые в настоящем Соглашении с заглавной буквы, имеют то же значение, что и в Договоре.
С УЧЕТОМ ВЫШЕИЗЛОЖЕННОГО и с целью достижения взаимного удовлетворения, стороны договорились о нижеследующем:
Соглашение
1. Стороны соглашаются с тем, что они руководствовались условиями Генерального соглашения при оказании всех услуг компанией YYY или по согласованию с ней, а также ее Персоналом или по согласованию с ним, компании XXX или Аффилированному лицу компании XXX, или в отношении услуг, которыми компания XXX или Аффилированное лицо компании XXX пользовалось в период с 21 января 2012 года по 20 января 2013 года.
2. Стороны соглашаются с тем, что они руководствовались условиями Договора при оказании всех услуг компанией YYY или по согласованию с ней, а также ее Персоналом или по согласованию с ним, компании XXX или Аффилированному лицу компании XXX, или в отношении услуг, которыми компания XXX или Аффилированное лицо компании XXX пользовалось в период с 21 января 2013 года до даты вступления в силу настоящего Соглашения.
3. Компания YYY, от своего собственного имени и от имени каждого сотрудника из числа своего Персонала, подтверждает и заверяет компанию XXX и ее Аффилированных лиц в том, что в отношении всех услуг, предоставленных компанией YYY или по согласованию с ней компании XXX или Аффилированному лицу компании XXX, или которыми компания XXX или Аффилированное лицо компании XXX пользовалось начиная с 21 января 2012 года до даты вступления в силу настоящего Соглашения:
a. ни компания YYY, ни какой-либо сотрудник из числа ее Персонала не предоставляли услуги от имени или в пользу компании XXX или Аффилированного лица компании XXX, которые включали бы осуществление платежей или перевод каких-либо денежных средств, прямо или опосредованно, в пользу государственного должностного лица или чиновника (включая сотрудников государственных корпораций или межгосударственных международных организаций), а также политической партии или кандидата на государственную должность;
b. ни компания YYY, ни какой-либо сотрудник из числа ее Персонала не осуществляли никаких выплат от имени или в пользу компании XXX или Аффилированного лица компании XXX, которые включали бы осуществление платежей или перевод каких-либо денежных средств с целью (а) подкупа государственного или частного должностного лица; (b) получения выгод посредством вымогательства, откатов или иных неправомерных или незаконных средств ведения бизнеса; или (с) получения иных неправомерных преимуществ для компании XXX, ее Аффилированных лиц или компании YYY;
c. предоставление услуг компанией YYY или каким-либо сотрудником из числа ее Персонала от имени или в пользу компании XXX или Аффилированного лица компании XXX не приводило к нарушению действующего законодательства или нормативно-правовых актов в какой-либо применимой юрисдикции, включая в том числе Закон США о коррупции за рубежом, Закон Великобритании о взяточничестве и антикоррупционное законодательство других стран;
d. предоставление услуг компанией YYY или каким-либо сотрудником из числа ее Персонала от имени или в пользу компании XXX или Аффилированного лица компании XXX не являлось причиной нарушения со стороны компании XXX или Аффилированного лица компании XXX действующего законодательства или нормативно-правовых актов в какой-либо применимой юрисдикции, включая в том числе Закон США о коррупции за рубежом, Закон Великобритании о взяточничестве и антикоррупционное законодательство других стран; и
e. компания YYY предоставляла все услуги от имени или в пользу компании XXX или Аффилированного лица компании XXX без привлечения или использования субподрядчиков.
4. Настоящее Соглашение не заменяет собой Генеральное соглашение или Договор, а всего лишь дополняет их в том объеме, в котором компания YYY предоставляла услуги, ранее нерегулируемые в явно выраженной форме условиями Генерального соглашения или Договора.
5. В случае разночтений между версиями настоящего Соглашения на русском и английском языке версия на русском языке имеет преимущественную силу над версией на английском языке.
В ПОДТВЕРЖДЕНИЕ ВЫШЕИЗЛОЖЕННОГО, каждая из Сторон поручила своему должным образом уполномоченному представителю подписать и оформить настоящее Соглашение в дату, указанную рядом с подписью ниже.

В современных условиях экономическое развитие и экономический рост предприятия, отрасли, региона и мирового сообщества в целом не возможен без инноваций. Стремительный рост производственных факторов во второй половине прошлого века привел к появлению большого количества технологий, освоение которых осуществлялось теми же темпами, что и в предыдущие годы. Причиной тому стала несогласованность технологических решений и неспособность менеджмента переработать столь большой объем информации. Традиционные процедуры принятия решений уже не могли обеспечить решение задач, стоящих перед предпринимательскими структурами, что привело экономику к стагнации.
В начале 40-х годов во время Второй мировой войны появилась необходимость в разработке и реализации новых идей, прежде всего, в сфере военно-промышленного производства. Именно в это время появляются направления в менеджменте, связанные с исследованием эффективных методов разработки решений, направленных на поиск и реализацию инновационных идей.
В конце XX — начале XXI века чрезмерный рост информации привел к тому, что разработка инновационных идей стала неотъемлемой частью деятельности организаций независимо от масштаба производства и формы собственности. В связи с этим актуальной стала проблема разработки, принятия и реализации управленческих решений в инновационном менеджменте.
В настоящей монографии изучен мировой опыт стратегического планирования инноваций. Представлена и проиллюстрирована на примере предприятия машиностроения авторская методология разработки инновационной стратегии компании, а также предложены авторские подходы к финансированию инновационных проектов.
Монография состоит из семи глав.
В первой главе излагаются теоретические основы стратегического планирования инноваций. При этом акцент сделан на интеграцию стратегического и инновационного управления и исследовании инновационной активности предприятий для того, чтобы позиционировать анализируемое предприятие на рынке, как инноватора-последователя либо как инноватора-лидера.
Во второй главе представлена методология разработки инновационной стратегии предприятия. Процесс разработки такой стратегии включает три направления: разработка стратегии продуктовых инноваций, разработка стратегии модернизации производства и модернизация ремонта оборудования. Последние два направления представляют из себя по сути разработку стратегии технологических инноваций. Для каждого из трех направлений разработан свой метод либо методика.
В третьей главе процесс разработки инновационной стратегии согласно представленной методологии проиллюстрирован на примере предприятия машиностроения ОАО “XXX”. В результате выбраны наиболее перспективные направления инновационного развития производства.
В четвертой главе предложены методы оценки эффективности инновационных проектов в условиях неопределенности, позволяющие выбрать наиболее оптимальный проект.
В пятой главе представлены некоторые подходы к финансированию инвестиционных программ инновационной деятельности, предполагающие возможности реинвестирования и применения реальных опционов для повышения гибкости управленческих решений.
Наконец в шестой и седьмой главах разработан рыночный подход к финансированию инноваций, основанный на оценке возможностей перелива капитала между отдельными направлениями бизнеса и отраслями экономики в целом.
Знание вопросов, изложенных в настоящей книге, позволит принимать квалифицированные управленческие решения по разработке бизнес-планов, выявлять факторы и резервы повышения эффективности работы предприятия. Книга послужит руководством в управлении инвестиционной, финансовой и производственной деятельностью предприятия, научит анализировать эффективность применения разработанных стратегий инновационного развития, а также использования различных схем финансирования инновационных проектов.
Translation - English Introduction
In today’s environment, economic development and economic growth of a company, an industry, a region and the global community in general are not possible without innovations. The vigorous growth of production factors in the second half of the previous century resulted in appearance of a large number of technologies whose development was effected at the same rates as in the previous years. The reason for this was inconsistency of technological concepts and the management inability to process such a large volume of information. The conventional procedures used to make decisions could not any longer provide for solving issues faced by business structures, which brought the economy to stagnation.
In the early 40s, during World War II, there appeared a need for development and implementation of new concepts, primarily, in the military and industrial production sector. It was at that time when some management trends made their appearance; those trends were related to investigating efficient methods for development of solutions aimed at searching and implementing innovative concepts.
Late in the 20th – early in 21st century, the overwhelming information growth resulted in the fact that development of innovative concepts became an integral part of corporate activities, regardless of production scale and type of ownership. In this connection, it was of high priority to develop, adopt and implement managerial decisions in innovative management.
In this monograph, the worldwide experience in strategic planning of innovations has been studied. The authors’ methodology for developing a corporate innovative strategy has been presented and instantiated in terms of a machine-building enterprise, as well as the authors’ approaches for financing innovative projects have been suggested.
This monograph consists of seven chapters.
Chapter 1 describes a theoretical basis for strategic planning of innovations. However, an emphasis was put on integration of strategic and innovative management, and investigation of innovation activities of companies in order to position the company under review on the market either as an adherent innovator or a leading innovator.
Chapter 2 presents a methodology for developing a company’s innovative strategy. The process of developing such a strategy includes three trends: developing a product innovation strategy, developing a production modernization strategy and equipment repair modernization. The last two trends actually represent developing a process innovation strategy. For each of the three trends, a dedicated method or methodology has been developed.
Chapter 3 illustrates the process of developing an innovative strategy on the basis of the presented methodology in terms of OAO XXX machine-building enterprise. As a result, the most promising trends in innovative production development have been selected.
Chapter 4 suggests methods for evaluating efficiency of innovation projects in uncertain environment, allowing selection of the most optimum project.
Chapter 5 presents some approaches for financing investment programs of innovative activities, proposing opportunities for reinvestment and application of real options to improve flexibility of managerial decisions.
Finally, Chapters 6 and 7 describe a market approach for financing innovations based on the assessment of opportunities to move capital between individual business lines and industries in general.
Knowing the issues set out herein will enable to adopt qualified managerial decisions for development of business plans, reveal factors and reserves for improving efficiency of a company’s performance. This paper may be used as a guide in management of investments, financing and manufacturing activities of a company; it will show how to analyze the efficiency of applying developed innovative strategies and using different financing schemes for innovation projects.

Source text - Russian Расчётно-экспериментальное исследование теплоотдачи потока вязкой жидкости в канале с ленточными завихрителями постоянного шага навивки
Приводятся результаты расчётных и экспериментальных исследований теплогидравлических характеристик теплоносителя при движении в каналах с ленточными завихрителями с относительным шагом навивки s/d = 4, 6 и 8. Экспериментальное исследование интенсификации теплообмена с помощью ленточных интенсификаторов проводилось на теплофизическом стенде ФТ-80, предназначенном для исследования процессов тепломассопереноса, теплогидравлических, ресурсных характеристик элементов ЯЭУ. Параметры теплоносителей соответствуют параметрам реальной ядерной энергетической установки. Конструктивно модель выполнена по схеме прямоточного теплообменного канала с внутритрубным движением среды II контура и наружным обогревом средой I контура. Материал трубы – титановый сплав. Материал интенсификатора - сталь 12Х18Н10Т. Общая длина модели составляет 2940 мм. Длина активной части теплообменной поверхности составляет 2480 мм. Интенсификатор теплообмена представляет собой ленточный завихритель толщиной 1 мм.
Расчётное исследование интенсификации теплообмена с помощью ленточных интенсификаторов проводилось с помощью программного комплекса ANSYS CFX 14.0. Генерация расчётных сеток производилась с помощью комплекса ANSYS ICEM CFD 14.0. Всего в ходе работы было сгенерировано несколько вариантов гексаэдрической сетки, посредством создания блоков, а также несколько вариантов тетраэдрической сетки с призматическим слоем различной толщины. Моделирование течения теплоносителя осуществлялось посредством различных моделей турбулентности. По результатам проведённых экспериментальных исследований сформированы таблицы данных и построены графики распределения температур теплоносителей и теплообменной поверхности по высоте модели. Определен коэффициент теплоотдачи к теплоносителю второго контура. Анализ полученных значений позволяет сделать вывод об увеличении эффективности теплообмена с уменьшением относительного шага навивки ленточного завихрителя. В результате проведения сравнительного анализа расчётных и экспериментальных значений было установлено, что расхождение составляет менее 10%. Поле скоростей теплоносителя, полученное на гексаэдрической сетке имеет более высокую степень соответствия теоретическим представлениям, чем поле скоростей полученное на тетраэдрической сетке. Исследование полей градиента давлений показало, что наилучшие результаты достигаются при использовании SSG модели турбулентности.
Translation - English Design and Experimental Research of Frictional Flow Heat Transfer in a Pipe with Constant Arrangement Pitch Band Turbulizers
Here are the results of design and experimental research of thermohydraulic characteristics of a coolant flowing through pipes with band turbulizers having a relative arrangement pitch of s/d = 4, 6 and 8. The experimental research of heat transfer intensification using twist metallic bands was conducted on the FT-80 thermophysical bench designed for analyzing the processes of heat and mass transfer, thermohydraulic and long-term performance characteristics of NPP components. The coolant parameters were in congruence with the parameters of a real nuclear power plant. Structurally, the model was built according to the scheme of direct-flow heat-transfer passage with intratubal flow of loop II medium and external heating by loop I medium. The pipe material was titanium alloy. The twist metallic band material was steel 12Х18Н10Т. The total length of the model was 2,940 mm. The length of the active part of the heat-transfer surface was 2,480 mm. The heat-transfer twist metallic band represented a band turbulizer 1 mm in thickness.
The design research of heat transfer intensification using twist metallic bands was conducted using the software system ANSYS CFX 14.0. Network generation was carried out using the system ANSYS ICEM CFD 14.0. All in all, a few versions of hexahedral network were generated as a matter of course by means of creating blocks as well as a few versions of tetrahedral network with prismy layers having different thicknesses. Modeling of the coolant flow was carried out by means of different turbulence models. Based on the results of the conducted experimental research, data tables were generated, and heating patterns of the coolants and the heat transfer surface were built according to the model height. A heat-transfer coefficient was determined for the secondary coolant. Analysis of the values obtained carried the inference that the heat transfer efficiency increased with a decrease of the relative arrangement pitch of the band turbulizer. As a result of a benchmarking study of the design and experimental values, it was determined that the difference was less than 10%. The coolant velocity profile obtained on the hexahedral network had a higher degree of compliance with the theoretical models than the velocity profile obtained on the tetrahedral network. Analysis of the pressure gradient fields showed that the best results could be achieved using the SSG turbulence model.
